but in the end, many speculate they got a bad deal. There were problems with Guidant and still are. Of course, the jury is still out as Boston Scientific had its own legal entanglements. Still, Guidant does not do much for Boston because now, there are two firms with negative publicity in alliance. Interestingly, the bidding war involved two firms that were in litigation with one another before the deal: Boston Scientific and Johnson & Johnson. To make matters even more curious, one analyst believes that it is entirely possible that Johnson & Johnson could come back to fight another day as it respects the Guidant acquisition. Yet, in evaluating the situation, it seems unlikely. In respect to the issue at hand, the problem was that Guidant had agreed to merge with Johnson & Johnson but reneged on the deal. This created complications. Actually, Johnson & Johnson began talks with the firm towards the end of 2004 but Guidant filed a lawsuit against Johnson & Johnson in 2005 claiming that it did not fulfill its legal obligations as suggested in the original contract concerning the acquisition ("Research and Markets: Boston Scientific," 2006). Yet, the two companies agreed on new terms ("Research and Markets: Boston Scientific," 2006). Hence, that problem was over. However, while Johnson & Johnson and Guidant had its problems, it made way for another player. It should be said that often, when it comes to merger deals, there are problems to be worked out. It is not unusual that Guidant and J & J had some disagreements. Of course, there were additional entanglements and one might say that what occurred goes above and beyond the scope of the ordinary M &A deal. Boston Scientific stepped in and outbid Johnson & Johnson ("Research and Markets: Boston Scientific," 2006). ...
