expected to make money in any way possible - either through legal or not so legal means. Today, however, as the public has gained a conscience, so, supposedly, have organizations. According to one such statement, in fact, an ethical corporation thinks first of its stakeholders before its bottom line. This is a nice sentiment, and more corporations are headed in that direction, particularly in light of what has been happening with global giants Enron, Worldcom and Global Crossing. Those familiar with these companies will realize that they didnt act in the best interest of their stakeholders. The above, however, focuses on U.S. companies, which have always been focused on bottom-line activities. What about companies in Europe? This paper will examine the ethical issues that were involved in between British mobile phone giant Vodafone-AirTouch and established, long-term German engineering and telecom firm Mannesman. Vodafone attempted to acquire Mannesmann, first through a friendly bid process, then through hostile takeover methods as the companys board, workers, the city of Dusseldorf (where Mannesmann is based) and even the German government leveled criticism after criticism at the company. The question here is if both companies acted for the thought of their stakeholders, and if both companies operated ethically as well. The answer is yes - both companies, in their own way, did behave as ethically as they could. This might seem a little confusing, as Vodafone was painted out as the "evil corporation" that was swooping down to pick on the innocent Mannesmann. But the problem that came up between the two entities wasnt so much a problem with ethics as it was a problem with corporate culture.
