Crossing - and happenings on corporate disclosure of companies in the USA as well as across the globe, company directors have been put in the spotlight and corporate governance has become a priority focus for companies in sustaining shareholders confidence and assurance, not to mention the assurance of the general population. In addition, the globalization of corporate entities has demanded a greater degree of transparency and accuracy in financial disclosures, performance measures and international accounting standards. While the issue of corporate governance and board responsibility is not new, in the wake of Enron and Global Crossing, many board directors and senior management executives are beginning to realize that they need to improve communications between management, shareholders and the general public. Many of these executives are also realizing that the interests of shareholders and board members need to differ as well. They also need to improve accountability when it comes to financial activities and reporting. This means the need for stronger corporate governance. Corporate governance is defined as the processes and structure by which the business and affairs of a company are directed and managed. Although the impact of corporate governance still has yet to be determined while the business world continues to sort through the shards of Enrons collapse, the concept of corporate governance can make a difference in many areas as it enhances long-term shareholder value both by boosting corporate performance and implementing accountability for a boards actions. The purpose of this paper is to demonstrate that corporate governance is integral to a companys positive performance.
