barely able to break even and there is no additional capital to make necessary improvements to its twenty-five year old owned facility. Also, there is no additional revenue to
expand MCACs services and programs. The focus now needs to be on improving the effectiveness and governance of MCAC and in so doing increase the available capital for operational
and expansion purposes. BOARD GOVERNANCE The Board should be responsible for setting the strategic direction of the organization. The Board should also set the policies and manage the performance
expectations. An effective board is essential to the overall success of MCAC. To be effective the Board of MCAC should develop an annual or twelve month agenda which specifies
significant events and duties to be attended to in the coming year. This twelve month agenda should include such items as a board performance review, financial reporting, an annual
review of organizational strategy, dates for retirement/selection of new board members, committee reporting dates such as the audit committee and a schedule for policy review. The Boards productivity and
effectiveness is based on its understanding and approval of managements theories and the plans for the implementation of those ideas. The Board in its entirety or any Board Committees
should not get involved in any tasks that are more properly in the domain of the chief executive or other staff members. STRATEGIC PLANNING To meet the goals and financial
